By accessing or using Sidepot ("the Service"), operated by Sidepot LLC, a Wyoming limited liability company, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
Sidepot is a social networking platform that connects friends through shared financial activities. The Service provides:
Sidepot is designed as a social coordination layer for friend groups. The Service facilitates peer-to-peer interactions and user-directed transfers of digital assets — it does not act as a financial intermediary, custodian, or exchange.
You must be at least 18 years old to use the Service. By using Sidepot, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
You are responsible for ensuring that your use of the Service complies with all laws and regulations applicable to you in your jurisdiction.
To use certain features of the Service, you must create an account. Account authentication is provided through Privy, a third-party authentication service. You may sign up using your email, phone number, Google account, Apple account, passkey, or compatible wallet. An embedded Solana wallet is automatically generated for every new account, regardless of signup method.
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Every Sidepot account includes a self-custodied Solana blockchain wallet, automatically generated through Privy's embedded wallet infrastructure. This wallet is yours alone. Key facts about your wallet:
You acknowledge that you are solely responsible for understanding the nature of digital assets, blockchain transactions, and the risks associated with self-custodied wallets.
The Service includes social communication features such as direct messaging, group messaging within Circles, activity feeds, and notifications. By using these features, you agree that:
Sidepot may moderate content to maintain community safety but is not obligated to monitor all user communications.
Sidepot enables users to coordinate financial activities socially within their friend groups. This includes creating Pots — shared pools where Circle members contribute funds toward a stated outcome or purpose.
Pots are settled by user-designated referees chosen by the group. Sidepot does not determine, influence, or arbitrate the outcome of any Pot. Users are responsible for selecting trustworthy referees within their Circles.
When a Pot resolves, fund distribution is executed automatically by on-chain smart contracts according to pre-defined rules. Sidepot does not hold pooled funds at any point — all assets remain in smart contracts on the Solana blockchain until distribution.
Sidepot is not responsible for disputes between users regarding Pot outcomes. We encourage users to resolve disagreements within their Circles through their designated referees.
You agree not to:
You retain ownership of content you create on the Service, including messages, profile information, and Pot descriptions. By posting content on Sidepot, you grant us a non-exclusive, royalty-free license to display and distribute that content as necessary to operate the Service (for example, showing your messages to other Circle members or displaying Pot details to participants).
You represent that you have the right to share any content you post and that it does not violate any third party's rights.
Sidepot may charge fees for certain services, including protocol fees on Pot resolutions. Any applicable fees will be clearly disclosed before you complete a transaction. Network transaction fees (Solana gas fees) are paid directly to the blockchain network and are not collected by Sidepot.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SIDEPOT LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SIDEPOT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DIGITAL ASSETS WILL MAINTAIN THEIR VALUE.
You acknowledge and accept the risks associated with digital assets and blockchain technology, including but not limited to:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEPOT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, DIGITAL ASSETS, OR OTHER INTANGIBLE LOSSES, INCLUDING LOSSES RESULTING FROM BLOCKCHAIN TRANSACTIONS, SMART CONTRACT EXECUTION, OR THIRD-PARTY SERVICE FAILURES.
You agree to indemnify, defend, and hold harmless Sidepot LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your content, your interactions with other users, or your violation of these Terms.
We may suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to other users or the Service. Upon termination, your right to use the Service ceases, but any digital assets in your self-custodied wallet remain accessible to you through the Solana blockchain independently of Sidepot.
We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.
